WeWork, the founder of the makerspace, still insists on continuing the IPO despite the sharp drop in its valuation, but its major shareholder SoftBank Group has objections.

According to Bloomberg News on September 11, citing people familiar with the matter, SoftBank Group, the major shareholder currently holding a 29% stake in WeWork, urged it to shelve its IPO plan, but WeWork ignored objections and continued to advance its $20 billion IPO stock sale plan.

Although SoftBank Group holds more shares than WeWork co-founder and CEO Adam Neumann, Adam Neumann still enjoys absolute control of WeWork through a three-tier share structure, with about 50% of Voting rights.

For SoftBank, if WeWork insists on going ahead with the IPO, the value of SoftBank's investment will be severely damaged and it will have to write down its $4 billion investment value, with the SoftBank Vision Fund losing $5 billion.

On the other hand, for WeWork, if it fails to go public as scheduled, it means that it will not be able to obtain a credit facility of $6 billion, because the prerequisite for the realization of the $6 billion credit line is that WeWork raises at least $3 billion in funds in the IPO.

Investors have previously expressed serious concerns about the company, including WeWork's massive operating losses, expensive leasing plans and executive payouts, the report said.

In just a few months, WeWork has gone from one of the most valuable unicorn startups in America to a laughing stock in the investment world. Earlier this year, Goldman Sachs valued WeWork at as much as $65 billion.

However, according to WeWork's prospectus filed in August, the company has lost $3 billion in the past three years and continues to burn cash. In the first half of 2019 alone, the company lost $690 million, and WeWork is now valued at less than a third of what Goldman Sachs put it at the time.

As CEO of WeWork, Adam Neumann cashed out more than $700 million from the company by selling stock and borrowing before the company's IPO. He also owns WeWork's leased property, which SoftBank also paid and spent $5.9 million on. US dollars to buy a trademark he held.

Since founding WeWork nine years ago, Adam Neumann has spent more than $80 million buying at least five homes as well as commercial real estate and stakes in startups, including a medical marijuana company.

SoftBank Group Corp., which has invested $10.65 billion in WeWork, has been spooked by a sharp drop in the company's valuation, while SoftBank's bankers have begun discussing a moratorium on its IPO.

SoftBank’s Vision Fund invested in WeWork once in 2017 at a valuation of $20 billion, and SoftBank has continued to inject capital into it since then, most recently in January, when WeWork was valued at $47 billion.

WeWork’s parent company, The We Company, is seeking a valuation that could be as low as $15 billion to $18 billion in the IPO.

At a critical juncture for WeWork's IPO, SoftBank is trying to persuade investors to raise $108 billion for its Vision Fund's second round, but the IPO has been slow and the valuation of SoftBank's stake is likely to shrink, which will make the financing plan become complicated.

But investors and analysts say We Company's reliance on long-term debt and short-term revenue to stay afloat, and the sharp drop in valuation reflects questions about the sustainability of We Company's business model and concerns about its ability to withstand an economic downturn.

For WeWork, it will need at least $7.2 billion over the next four years to weather a period of negative cash flow, but if there is a recession in 2022, its cash needs will increase to $9.8 billion.
